Adjustments strip out merger costs, restructuring, and the East Palestine ('Eastern Ohio') incident ($72M pretax / $0.26 EPS). By segment: Merchandise ~$2.13B (vol +2%, RPU-less-fuel +3%, a record), Intermodal $908M (vol +5%, pricing finally turned positive), Coal $424M (vol +3% on a new met-coal export customer). The catch: NSC no longer trades on the railroad. In July 2025 Union Pacific agreed to buy it for 1.0 UNP share + $88.82 cash per NSC share — America's first transcontinental railroad — an ~$85B deal. At UNP's price today that offer is worth ~$393/share; NSC trades ~$349, an ~11% spread that prices roughly a coin-flip on Surface Transportation Board (STB) approval (supplemental info due July 27, 2026; expected close early 2027). Standalone the railroad is worth ~$300 on an owner-earnings DCF; probability-weighting the ~$393 deal at ~65% odds vs the ~$300 break case blends to a fair value near $360. Our call: HOLD, 3/5 — a wide-moat railroad trading as a regulatory bet priced for a coin-flip, which is where the Street lands too (Hold; avg target ~$348, range $310–$360).
